How Does One Register A Business

  1. Research & Choose a Company Structure
  2. Choose a State & City - Choosing a location first is key since requirements can change state to state.
  3. Get a Commercial Address (if registering out of state - Foreign | If in-state - Domestic)
  4. Search & Choose a Business Name
  5. Get a Registered Agent (only if one does not reside in the state they are registering in)
  6. Register The Business with the State & Local Agencies - Google: Secretary of State + STATE for one's state website
  • Articles of Incorporation (for Corporations) or Articles of Organization (for LLCs)
  • Bylaws or Resolutions (for Corporations) or Operating Agreement (for LLCs)
  • Fictitious Name Filing / DBA (Doing Business As)
  • To create an S corp, one will need to file form 2553 with the IRS
  1. Get an EIN (Employer Identification Number) from the IRS (Available FREE Online: 6am-7pm EST)
  2. Apply for Licenses & Permits - Governments (at the State, County & City Tier) determine registration, licensing, and permitting requirements, so visit local government websites to find out what one may need to do. SBA.gov is also a good resource.
  • Business License (may not be needed - varies by industry, state & county)

Tax IDs/permits - One may need to file additional documentation with one's state tax board or franchise tax board. These filings are typically referred to as Initial Reports or Tax Board registration, and most often need to be filed within 30-90 days after registering with the state.
